1. Introduction. These Terms & Conditions govern your access to and use of Spiceliner, including our website, software, tools, market data displays, analytics, AI-enabled features, account features, content, and related services. Spiceliner is a market intelligence platform built to help users organize market context, review financial information, scan equities, follow news and earnings, and move through market research with more precision. By accessing or using Spiceliner, you agree to these Terms. If you do not agree, you may not use the platform.

2. Eligibility And Accounts. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use Spiceliner. If you create an account, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must notify us promptly if you believe your account has been accessed without authorization.

3. License To Use Spiceliner. Subject to these Terms, Spiceliner grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the platform for your personal use or internal business use, as applicable. This license is limited to ordinary use of the platform. It does not give you the right to copy, resell, redistribute, republish, sublicense, extract, scrape, or commercialize Spiceliner, its content, its data, or any output from the platform except where we expressly authorize that use in writing. All rights not expressly granted to you are reserved by Spiceliner and its licensors.

4. Nature Of The Service. Spiceliner provides market intelligence tools, including stock information, financial data views, charts, scans, news context, earnings context, watchlists, saved research flows, AI-embedded insights, and related workflow features. Spiceliner is designed to support research and decision-making. It is not a broker, exchange, investment adviser, portfolio manager, or execution venue.

5. No Financial Advice. Spiceliner does not provide financial advice, investment advice, trading recommendations, portfolio management, tax advice, legal advice, or any recommendation to buy, sell, hold, or otherwise transact in any security or financial instrument. Any information, signal, score, scan result, AI output, chart, data point, news summary, earnings context, or other material available through Spiceliner is provided for informational and educational purposes only. You are solely responsible for your own trading, investment, and financial decisions. Trading and investing involve risk, including loss of capital.

6. Market Data And Platform Content. Spiceliner may make available market data, financial data, pricing information, company information, analytics, charts, rankings, scans, AI outputs, reports, metadata, and other content or information made available through the platform ("Platform Content"). Platform Content may be sourced from third parties, generated by Spiceliner, derived from available data, or produced through automated and AI-enabled systems. Platform Content may be real-time, delayed, estimated, incomplete, or subject to correction. Spiceliner does not guarantee that Platform Content will be accurate, complete, current, uninterrupted, error-free, or suitable for your particular use case. You are responsible for independently verifying information before relying on it.

7. Data Usage Restrictions. Unless expressly authorized by Spiceliner in writing, you may not: Copy, reproduce, republish, redistribute, resell, sublicense, syndicate, broadcast, or make Platform Content available to third parties; Scrape, crawl, harvest, mine, index, cache, bulk download, monitor, record, or systematically collect data, content, outputs, API responses, or other materials from Spiceliner; Use Spiceliner or Platform Content to build, train, improve, benchmark, validate, or operate a competing product, analytics service, AI system, market-data product, trading system, or financial-information service; Create, calculate, validate, publish, distribute, or commercialize any index, benchmark, reference rate, price assessment, valuation, dataset, model, report, derived data product, or database using Platform Content; Use Platform Content for external publication, redistribution, resale, sublicensing, exchange, brokerage, settlement, reference, valuation, model training, or commercial exploitation without our prior written consent. Any permission to redistribute, republish, or externally use Platform Content must be set out in a separate written agreement signed by Spiceliner. Availability of content through the platform, attribution, payment, account access, or course of dealing does not create permission to redistribute or commercialize Platform Content.

8. Acceptable Use. You may not use Spiceliner to: Violate any applicable law, regulation, contractual obligation, or third-party right; Reverse engineer, decompile, disassemble, translate, or attempt to derive source code, underlying components, models, algorithms, systems, calculations, methodologies, data pipelines, or non-public data structures; Interfere with or disrupt the integrity, security, availability, or performance of the platform; Transmit malware, harmful code, unauthorized communications, or abusive traffic; Misrepresent your identity, affiliation, authority, or permitted use; Submit content that is unlawful, infringing, defamatory, fraudulent, deceptive, harassing, hateful, obscene, or otherwise objectionable; Use automated systems, bots, scripts, or crawlers except where expressly allowed by Spiceliner in writing.

9. User Content. You may provide prompts, notes, watchlists, saved views, feedback, messages, files, preferences, or other materials through the platform ("User Content"). As between you and Spiceliner, you retain ownership of your User Content, except for any rights you grant to us under these Terms. You grant Spiceliner a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, transmit, process, and otherwise use User Content as necessary to provide, maintain, secure, support, and improve the platform, comply with law, and enforce our rights. You represent that you have all rights necessary to provide User Content and to grant this license.

10. Intellectual Property. Spiceliner, including its software, interfaces, designs, workflows, documentation, text, graphics, names, logos, models, AI-enabled features, data structures, Platform Content, and other materials provided by or on behalf of Spiceliner, is owned by Spiceliner or its licensors. Spiceliner is protected by intellectual property, trade secret, contract, and other applicable laws. If you provide suggestions, ideas, or feedback, you agree that Spiceliner may use them without restriction or obligation to you.

11. Subscriptions And Payments. Spiceliner may offer free plans, paid subscriptions, annual plans, enterprise plans, trials, promotional access, or other paid features. Paid plans are charged in advance unless otherwise stated at checkout or in a separate written agreement. Subscriptions may renew automatically until canceled. Prices, features, usage limits, and plan availability may change over time. If we make material changes to a paid plan, we will provide notice where required by law or where reasonably appropriate. Payments are non-refundable except where required by law or expressly stated by Spiceliner in writing.

12. Third-Party Services And Data Providers. Spiceliner may contain links to, rely on, integrate with, or display information from third-party websites, data providers, software, infrastructure services, analytics providers, payment processors, or other services. We do not control third-party services and are not responsible for their content, availability, security, accuracy, terms, or policies. Your use of third-party services may be governed by the terms and policies of those third parties.

13. Disclaimers. Spiceliner and Platform Content are provided "as is" and "as available" to the maximum extent permitted by law. We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and quiet enjoyment. We do not warrant that Spiceliner or Platform Content will be uninterrupted, error-free, secure, current, complete, or free of harmful components, or that any output or result will be accurate, complete, profitable, or suitable for your use case. You are responsible for reviewing and evaluating any output, result, or information before relying on it.

14. Limitation Of Liability. To the maximum extent permitted by law, Spiceliner and its affiliates, officers, employees, contractors, licensors, data providers, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, use, data, trading opportunity, investment return, capital, or business interruption, arising out of or related to Spiceliner, Platform Content, or these Terms. To the maximum extent permitted by law, Spiceliner's aggregate liability for all claims arising out of or relating to Spiceliner, Platform Content, or these Terms will not exceed the greater of (a) the amounts paid by you to Spiceliner for the platform during the twelve (12) months before the event giving rise to the claim or (b) fifty euros (EUR 50).

15. Indemnification. You agree to defend, indemnify, and hold harmless Spiceliner and its affiliates, officers, employees, contractors, licensors, data providers, and service providers from and against any third-party claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your User Content, your use of Spiceliner, your access to or use of Platform Content, your redistribution or commercialization of Platform Content, your investment or trading decisions, or your violation of these Terms or applicable law.

16. Suspension And Termination. We may suspend or terminate your access to all or part of Spiceliner at any time, with or without notice, if we reasonably believe you have violated these Terms, created security, legal, data-licensing, operational, or financial risk, misused Platform Content, or if suspension is necessary to protect Spiceliner, users, data providers, or third parties. Upon termination, all rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination will survive, including ownership, Platform Content restrictions, acceptable use, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions.

17. Changes To Spiceliner Or These Terms. We may modify Spiceliner or these Terms from time to time. If we make material changes to these Terms, we may provide notice by posting the updated version on the website, through the platform, or by another reasonable method. The updated Terms will become effective as of the stated effective date. Your continued use of Spiceliner after that date constitutes acceptance of the updated Terms.

18. Governing Law And Disputes. These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or Spiceliner will be governed by the laws of The Netherlands, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or Spiceliner will be submitted to the competent courts in The Netherlands, unless applicable law requires a different venue.

19. Miscellaneous. These Terms constitute the entire agreement between you and Spiceliner regarding the platform, except for any separate written agreement that expressly governs the same subject matter. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. No waiver of any provision will be effective unless in writing. Failure to enforce a provision does not constitute a waiver.
